Introduction

This Master Service Agreement ("Agreement") is entered into between Solanacy Technologies ("Solanacy", "we", "us") and you, the Subscriber, upon your use of the D-Dey Pharmacy Management System ("D-Dey PMS" or the "Platform").

D-Dey PMS is a cloud-based Software-as-a-Service (SaaS) platform built specifically for licensed pharmacists and pharmacy owners in India. It provides tools for inventory management, GST billing, AI-assisted prescription scanning, staff management, and analytics — all accessible through a Progressive Web App (PWA) interface.

This Agreement governs your access to and use of all features of D-Dey PMS, including any future updates, new modules, or additional services released under the platform. By using the platform, you agree to be legally bound by this Agreement in its entirety.

Definitions & Interpretation

License Grant & Restrictions

2.1. Grant of Limited License

Subject to the terms of this Agreement and payment of applicable fees, Solanacy hereby grants the Subscriber a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for the Subscriber's own internal pharmacy business operations during the active Subscription Period.

The Subscriber shall NOT, directly or indirectly, under any circumstances:

SaaS Subscription & Payments

3.1. Subscription Tiers & Features

Access to platform features is governed by the specific subscription tier selected by the Subscriber. Current tiers include:

Solanacy reserves the right to modify plan features, pricing, and quotas at any time. Subscribers will be notified at least 7 days in advance of any changes affecting their current plan.

3.2. Payment Terms

All subscription fees are payable in advance, in Indian Rupees (INR), via the payment methods accepted on the Platform (UPI, Net Banking, or other integrated methods). Solanacy reserves the right to suspend or lock access to the Platform immediately and without prior notice if the subscription period expires and no renewal payment is received.

3.3. Non-Refundability

All subscription payments are final and non-refundable, regardless of usage frequency, feature utilization, or early account termination. The sole exception is a verified transaction failure as defined in our Refund & Cancellation Policy. By completing a payment, the Subscriber unconditionally acknowledges and accepts this non-refundability clause.

AI & Voice Agent Services

Critical Disclaimer — AI Accuracy

The Platform utilizes Google Gemini and other Large Language Models (LLMs) for features including Image-to-Text Scanning and Voice Interaction. The Subscriber unconditionally acknowledges that AI is probabilistic and inherently prone to errors, hallucinations, and misinterpretations.

Solanacy makes no warranty, express or implied, regarding the accuracy, completeness, or reliability of any AI-generated output. Never rely solely on AI output for dispensing medication.

4.1. No Guarantee of AI Accuracy

Solanacy does NOT guarantee 100% accuracy of OCR results from the AI Scanner or responses from the Voice Agent. The AI may misread handwritten prescriptions, confuse similarly named drugs (e.g., Metformin vs. Metronidazole), misinterpret dosage instructions, or fail to recognize poorly printed barcodes.

4.2. Mandatory Human Verification — Non-Delegable Duty

It is the absolute, non-delegable, and legally binding duty of the Subscriber (as a Registered Pharmacist) to physically verify every item, quantity, and dosage added to the billing cart, inventory, or any patient record — regardless of whether it was auto-filled by AI. Solanacy shall not be held liable for any dispensing errors, adverse patient health outcomes, legal penalties, or regulatory actions arising from reliance on AI-generated data without independent human verification.

4.3. Voice Recording Consent

By activating and using the Voice Agent feature, the Subscriber irrevocably consents to the real-time capture and processing of audio data via WebSocket connections to our servers and third-party AI processors (including Google). The Subscriber warrants that all individuals whose voices may be captured during Voice Agent sessions have been informed of and consent to this recording.

4.4. AI Feature Availability

AI Services are dependent on third-party API availability (Google Gemini). Solanacy does not guarantee uninterrupted availability of AI features and shall not be liable for temporary outages caused by third-party service disruptions.

Pharmacy Regulatory Compliance

5.1. Drugs and Cosmetics Act, 1940

The Subscriber represents and warrants that they hold a valid Drug License issued by the relevant State Drug Control Authority as required by the Drugs and Cosmetics Act, 1940 and the Drugs and Cosmetics Rules, 1945. D-Dey PMS is a record-keeping and management tool — it does not grant any regulatory approvals or absolve the Subscriber of their statutory duties as a licensed pharmacist.

5.2. Schedule H / H1 / X Controlled Drugs

The Subscriber is solely and entirely responsible for maintaining separate, statutory physical registers for Schedule H1 and Schedule X drugs, as required by the Drugs and Cosmetics Rules. The Platform's Inventory feature is an operational aid and is not a replacement for statutory physical registers unless such digital records have been specifically approved by the Subscriber's local Drug Control Authority.

5.3. GST Compliance

The Subscriber is responsible for ensuring that all GST information (GSTIN, tax categories, HSN codes) entered into the Platform is accurate and current. Solanacy provides the billing framework but is not a tax advisor. The Subscriber bears full responsibility for the accuracy of their GST filings.

Data Privacy & Cloud Storage

6.1. Data Ownership

The Subscriber retains all rights, title, and interest in and to the Customer Data. Solanacy claims no intellectual property rights over the data you input into the system. Solanacy processes your data solely as a Data Processor acting under your instructions as the Data Fiduciary.

6.2. Google Firebase & Third-Party Hosting

The Platform uses Google Firebase for data storage, authentication, and hosting. By using the Service, the Subscriber acknowledges and accepts the Google Cloud Platform Terms of Service and Firebase Data Processing Terms. Solanacy is not liable for data loss, corruption, or unavailability caused by Google's infrastructure outages, planned maintenance, or force majeure events.

6.3. Data Security Obligations

Solanacy will implement industry-standard security measures as described in our Privacy Policy. The Subscriber is responsible for maintaining the security of their Google account credentials and for promptly notifying Solanacy of any suspected unauthorized access to their D-Dey PMS account.

Third-Party Integrations

7.1. WhatsApp / Meta Platforms

The Platform includes a feature to generate and share invoices via WhatsApp. Solanacy is not affiliated with Meta Platforms, Inc. This feature relies on the WhatsApp URL scheme to open the WhatsApp application on the Subscriber's device. We are not responsible if WhatsApp blocks the Subscriber's number due to bulk messaging, spam complaints, or Meta's independent policy enforcement.

7.2. Google Services

D-Dey PMS integrates with multiple Google services including Firebase, Google OAuth, and Google Gemini. Disruptions to any Google service may affect Platform functionality. Solanacy will communicate known outages via in-app notifications where possible but cannot guarantee uninterrupted availability of Google-dependent features.

Intellectual Property

The Platform, including all source code, UI/UX design, databases, algorithms, logos, trademarks, and the "D-Dey" and "Solanacy" brand names, are the exclusive intellectual property of Solanacy Technologies. All rights are reserved.

The Subscriber is granted only the limited usage license described in Section 02. Nothing in this Agreement shall be construed as a transfer of any intellectual property rights from Solanacy to the Subscriber.

The Subscriber may not use the Solanacy or D-Dey name, logo, or branding in any marketing materials, social media, or business communications without prior written consent from Solanacy.

Limitation of Liability

9.1. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. SOLANACY EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9.2. Exclusion of Consequential Damages

IN NO EVENT SHALL SOLANACY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, MEDICATION DISPENSING ERRORS, REGULATORY PENALTIES, OR BUSINESS INTERRUPTION, EVEN IF SOLANACY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

9.3. Monetary Cap

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SOLANACY'S TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THIS AGREEMENT SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY THE SUBSCRIBER IN THE ONE (1) CALENDAR MONTH IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Indemnification

The Subscriber agrees to indemnify, defend, and hold harmless Solanacy Technologies, its founders (Saumik Paul, Kaif Sk), directors, employees, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to:

Termination Policy

11.1. Termination by Subscriber

The Subscriber may discontinue use of the Platform at any time by ceasing to renew their subscription. Access will remain active until the end of the current paid Subscription Period. No refund will be provided for the remaining days of the active period.

11.2. Termination by Solanacy

Solanacy reserves the right to terminate, suspend, or lock any Subscriber account immediately and without prior notice if:

Upon termination for cause, no refund will be provided. Data deletion will follow the terms described in our Privacy Policy.

Dispute Resolution & Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the Republic of India. Any dispute, controversy, or claim arising out of or relating to this Agreement, or the breach, termination, or validity thereof, shall be subject to the exclusive jurisdiction of the courts located in Howrah / Kolkata, West Bengal, India.

Before initiating any formal legal proceedings, the parties agree to first attempt to resolve any dispute through good-faith negotiation for a period of at least 30 days. Disputes involving amounts under ₹5,00,000 (Five Lakh Rupees) may be referred to arbitration under the Arbitration and Conciliation Act, 1996, with a mutually agreed sole arbitrator.
